An Phat Holdings’ Extraordinary General Shareholders Meeting: Submit plan to raise capital to increase ownership in An Phat Bioplastics (AAA)

An Phat Holdings JSC (APH) has just released its Extraordinary Shareholder Meeting document in 2021, in which in addition to the approval of some adjustments related to the construction of PBAT manufacturing plant, the Board of Directors also submits the issuance plan to existing shareholders at the rate of 40%.

Raising the expected investment in manufacturing plant to $ 90 million

According to report before APH’s Extraordinary Shareholder Meeting expected to take place in January 2021, the total investment for the project to build PBAT manufacturing plant was changed from nearly VND 1,500 billion to over VND 2,100 billion (about USD 90 million), the scale and capacity is expected to increase from 20,000 tons of products per year to 30,000 tons of products per year. At the same time, APH also submitted to shareholders plan to establish a new legal entity as an investor to implement the Project.

The construction of the largest PBAT manufacturing plant in Southeast Asia is part of APH’s 2021 strategic plan to have the autonomy in raw materials, hence create competive advantages and expanding market for environment friendly products in domestic and international market.

Continuously increasing ownership in member companies

Thanks to the the self-supply in raw materials, APH will save about 30% of production costs for subsidiaries while the parent company still enjoys a gross profit margin of 25-30% of this project.

In 2020, APH’s market share for green products has increased from 5 countries (2019) to 20 countries including the US, Canada, Japan, European countries … and market is expected continue to expand in 2021.

The second important regarded to APH’s Extraordinary Shareholder Meeting is the issuance of 55 million new shares to existing shareholders at the price of VND 10,000. The total amount of money expected to mobilise from this share issuance is VND 557 billion, which is expected to be used entirely to increase the ownership rate in AAA.

Previously, in March 2020, AAA’s Shareholders Meeting in 2020 approved APH to increase its ownership in AAA to 65% without a tender offer. In mid-July, APH took the first step of increasing its ownership in AAA from 48% to 53% through the conversion of warrants to 30 million AAA shares. Currently, AAA is the main unit accounting for 80% of APH’s profits while the P/E valuation of AAA for 2021 is only 5.7x based on 2021’s estimated profit after tax of VND 550 billion.

According to representatives of APH, raising APH’s ownership in AAA will help increase APH’s value when AAA is the highest profit contributor but has the cheapest valuation among current listed companies of APH.

Earlier, AAA also increased its ownership in HII to 63.5% in May 2020; raised its ownership in An Vinh Packaging Plastic JSC to 56.51% in July 2020; increasing its ownership in NHH. 20.24% and NHH increased the ownership in An Cuong High-tech Building Materials Joint Stock Company to 98.9% in November 2020 and December 2020. These activities show the strategy to increase ownership in APH’s member companies to increase the value of profits contributed to APH from 2021.
